ok I forced 

root@matrix1 SPECS]# cd /usr/src/redhat/RPMS/i386
[root@matrix1 i386]# ls
NVIDIA_GLX-1.0-3123.i386.rpm  NVIDIA_kernel-1.0-3123.i386.rpm
[root@matrix1 i386]# rpm -Uvh --force NVIDIA*


& this is what I got
