10to1 says you have a SB Live! series card.  They're evil.  Try 
removing it, reenable onboard audio if you have it, and see if 
your lockup problems go away. 

The other major hardware source of instability problems is using 
an inadequate and/or non-Athlon-certified power supply (if your 
supply has the additional square 4-pin power connector for P4's 
and dual CPU Athlons you're almost certainly OK, otherwise look 
it up on amd.com).  I doubt this is your problem. 

Both my dual CPU and uniprocessor Athlon machines are solid 
running Shrike (AMD and nForce2 chipsets respectively).
