Assuing all your hardware is good.

1.  Make sure you do not have two machines with the same IP address.

2.  Is this a switched network?

    Check the duplex setting at the switch and compare with your card
    $ sudo mii-tool eth0

Also some cards do not negotiate well with certain switches and you may need 
to turn on portfast or whatever it is called on your switch.

3.  make sure you do not have two cards with the same MAC address.  Yes, it  
does happen.
