Since ISOC would clearly be one of the parties to this MOU, I'm not sure how useful it would be for the IETF to produce a draft MOU in the absence of ISOC input.
It would not be wrong for the IETF to discuss the contents and form of such an MoU, then draft it and ask the ISOC BoT to comment (and of course the IETF-ers), in order to reach consensus.
