rpm -Uvh rpm-4.2.3-10.i386.rpm fails

Red Hat Enterprise Linux ES release 3 (Taroon Update 3)

As well as :

# rpm -Fvh rpm-4.2.3-10.i386.rpm
Preparing...                ###########################################
[100%]
   1:rpm                    ###########################################
[100%]
error: unpacking of archive failed on file /bin/rpm: cpio: rename
failed - Operation not permitted
#

Currently installed: rpm-4.2.1-4.4

How do I get around this conundrum? Running as root, tried to use
up2date, up2date-gnome, install (failed dependencies). Tried to chown
root:root /bin/rpm but that refused (chown: changing ownership of
`/bin/rpm': Operation not permitted)--currently rpm:rpm--I assume this
is the problem.

Did lots of searches in this list, other lists, google, et al. nada
