You forgot to tell tar to extract the file:

/usr/src/tar -xzvf linux-2.4.20.tar.gz

Yes and yes. After running make oldconfig, do the following in the linux-2.4.20 top level directory:

make dep bzImage modules modules_install install

and then reboot after the compile completes (could be a while depending on your CPU/RAM speed). This is about the only time you need to reboot linux after a software change for that change to take effect.
