There are true differences between your /boot/grub and mine.
Your Ubuntu installation used the newer GRUB 2
while mine is GRUB2 plus some leftovers from the legacy GRUB 1,
specifically including the menu.lst file which GRUB 2 is no longer
using, it seems

For GRUB 2, there is a file   /etc/default/grub  beginning
--------------------
# If you change this file, run 'update-grub' afterwards to update
# /boot/grub/grub.cfg.
GRUB_DEFAULT=0
GRUB_HIDDEN_TIMEOUT=0
GRUB_HIDDEN_TIMEOUT_QUIET=true
GRUB_TIMEOUT="10"

Edit it with:
$ sudo gedit /etc/default/grub
changing
GRUB_DEFAULT=0
to
GRUB_DEFAULT=2

Save and do the
$ sudo update-grub

Then reboot to see which kernel is selected.
Loosing audio under 2.6.28 is normal on a KARMIC  2.6.31 system,
because the ALSA utils don't support the older  2.6.28  audio kernel
drivers
