I did make the new initrd (but I had to copy it over to /boot manually):
-rw-r--r-- 1 root root 147552 Oct 26 02:33 initrd-2.4.20-8.img
-rw-r--r-- 1 root root 85430 Mar 14 08:56 initrd-2.6.4.img
Also tried various init=.... options for good measure.
Plus I studied all the M-C-F<n> vconsoles/logfiles for clues.
Only suspect message I saw was the
> mount: error 19 mounting ext3
> ...
> Kernel Panic: No init found. Try passing init= option to the kernel
