KDE NM may be running, it depends on how your machine was setup. For example it may be started automatically.

Are you planning to use only TDE or you want to use also KDE4?
In the first case, just install a bare ubuntu without any desktop environment (I assume this is possible, as it is for
Debian), then install TDE on top of that. This will prevent any KDE stuff to get in the way.
In the second case, just make sure you are using only one NM ;-)
