Seems the rpm you want to use is a src.rpm. Install the kernel-source
package. Doing this you better quickly update your kernel too! Yours is
very old and has severe security flaws:

http://download.fedoralegacy.org/redhat/9/updates/i386/kernel-source-2.4.20-31.9.i386.rpm

The kernel rpm is available too. Other missing updates install too.

Btw. you are asking on the wrong list.
