Hi

Well I solved only part of the problem. I can boot up now, but it won't
completely power down. Anyway, I added the following line to
/etc/grub.conf 

apm=off_threshold=100

I have pasted a section of that file below so you can see exactly where
I put it:

#boot=/dev/hda
default=1
timeout=10
splashimage=(hd0,1)/grub/splash.xpm.gz
title Red Hat Linux (2.4.18-14)
        root (hd0,1)
        kernel /vmlinuz-2.4.18-14 ro root=LABEL=/ apm=off_threshold=100
        initrd /initrd-2.4.18-14.img
