    I've been trying to get info on some how-to s   here is what i
have...   my main PC has win 98 SE on it with 128 memory and is the

This is not really the answer you were looking for, but I think you should do this the other way around. Make Linux the dial-up server, and slave win98 off it. I'm not going to go into the benefits, but there are many. There's also heaps of documentation around the net on how exactly to set this up.
