Hello Srinivas,
            Still getting errors as (my system
screenshot)
[root@localhost mod]# make
cc -DMODULE -D__KERNEL__
-I/usr/src/linux-2.4.20-8/include/ -O2 -Wall   -c -o
cre_fil.o cre_fil.c
ld -r -o cf.o cre_fil.o
[root@localhost mod]# insmod cf.o
cf.o: unresolved symbol sys_open
[root@localhost mod]#
    I only change Makefile as 
INCDIR=/usr/src/linux-2.4.20-8/include/
