But some portion of the code we don't want to distribute with source code. then the only sane answer is "ask your lawyer if he's comfortable with it". It's a lawyer question not a developer question. Developers have opinions (I do for sure) but I don't have to defend you or your VAR's in court if a developer gets upset and files suit, your lawyer does however.
