Note that you have to run /sbin/lilo every time you make changes to /etc/lilo.conf. If you have taken care of this then it may be because of kernel not able to find root. One can check if "root=" is set properly in /etc/lilo.conf. Look for error messages before kernel panic and fix those. It might be helpful if you provide kernel startup messages.
