Pcnet32 Driver Problems

	Greetings!  I am having some problems with the pcnet32 driver that 
lead me to believe that it is in fact the driver's fault.  I have no been able to 
get the driver to work for me on any of the test releases of 2.4.0 or the final
release; however, 2.2.18 works flawlessly. 
	I load the driver as normal, I modprobe it, and activate it, and I can
get it to do absolutely nothing.(I have tried compiling into the kernel as
well).  There are no errors on the screen or in the logs, and, as far as 
I can tell, there is no problem at all.  However, I am unable to ping anything -
it loses every packet, but still with no errors.  The link light on the back of
the card also does not come on.
	I have a Diamond 1mbps Homefree PCI PhoneLineNetwork card.  The
/proc/pci entry for the card is :
   Bus  0, device  11, function  0:

          (rev 81).      IRQ 3.
          Master Capable.  Latency=198.  Min Gnt=24.Max Lat=24.

In my /var/log/messages, the pcnet32 driver output is:

(Sorry if I mangled the output on that one a little)

	There are no IRQ conflicts of any sort, and, as I said, this card works
flawlessly under 2.2.18.  I have checked my /proc/interrupts after activating
the card, and it has detected the card correctly(PCnet/Home 79C978)

P.S. I -=have=- upgraded to all the correct versions of software, and any other
output you may need from any other commands, I'd be happy to give you.
