Carefully read the following:
http://linmodems.technion.ac.il/packages/ltmodem/11c11040/HOWTO-Agere-11c11040-HDA.html

Try to apply all the steps and report back if you encounter problems.

The release is new and I do not know if anyone has successfuly
compiled and installed the drivers for your kernel so that they could
be made functional iike previous version

http://linmodems.technion.ac.il/packages/ltmodem/11c11040/agrsm-ubuntu8.04.1-2.6.24-19-generic.tar.gz
NOTE:
there seems not to be a ??-21-generic.tar.gz for the newer kernels
under previous kernel.

Regards,

Antonio
