Believe it or not this and Kathleen’s response were precisely the clue-by-fours I needed to understand the issue.   I’d been seeing from the perspective that independent oversight was what created the problem, rather than that a lack of independence was the problem, but now that you’ve connected this back to what Heather said, I think I get it.
