There are the following requirements for LLC candidates:

  - Operating transparently and engaging openly with the IETF community
    and the staff.

  - Acting in compliance with all applicable laws, regulations, and
    board policies

I agree that these are good requirements, but I don't think they are in conflict
with (a) having a COI that you can't disclose (b) recusing yourself from decisions
where that COI would be relevant but not publicly disclosing the COI. Transparency
doesn't mean that you need to disclose everything about you or we would demand
a complete accounting of everything about a LLC candidate's life, ranging from their
tax returns to every email they ever sent.


The above cases (please see quoted text) could end up being
controversial even if the director did not do anything wrong.

"Could end up being controversial" doesn't seem like a real objection because
anything could end up being controversial if someone objects loudly enough.
The question is whether that objection would have merit, and as above, I don't
think it necessarily does.
