  Well I took kernel from CentOS3 (thanks for the idea) installed it
into RH7.3 host and HVM started and seems to be working in test mode.
Both disk and network seems to be working.

  What else could go wrong in such setup? Kernel changed minimally
from 2.4.20-20.7 to 2.4.21-63.
