1: 2.4 uses different auth methods and directives, see http://httpd.apache.org/docs/2.4/upgrading.html and check out the authentication section. You probably either need the compat module, or a new access control directive is overriding your current directory section. 2: Apache 2.4 needs modules that are compiled with the new apr, so make sure to recompile your mod_php as well.
