Problem with Millenium II (4MB) 1280x1024 24bpp

Hi  all.   Sorry  if  I  double posted this, I have a new email
account.

Trying  to  get  a  dual-head  setup  going with XFree86 4.3.0.
Everything works fine except one thing:  My Matrox Millenium II
(4MB  PCI)  won't  run  at  1280x1024 24bpp.  It claims there's
insufficient  memory for that mode.  Now, I'm not entirely sure
how  video  RAM  is  allocated,  but in terms of raw pixel data
1280*1024*3  =  3932160 and 4MB = 4194304, therefore should fit
with 256KB to spare?

In  fact,  there  MUST  be sufficient memory, because this card
works  fine with the same monitor under Windows XP at 1280x1024
24bpp.

How can I get it to work with X?
Please find my XF86Config-4 (6KB) and XFree86.0.log (52KB)
attached below.
Notes:
  * The other card is nVidia GeForce 256 DDR AGP
  * Both displays are CMV CT-720D LCD panels
  * The Graphics Adapater Priority in BIOS is set to AGP
  * This configuration works fine with "DefaultDepth 16"
  * When set to DefaultDepth 24, the NV works fine, while the
    MGA works, but in a lower resolution.
  * I have tried adjusting and removing the HorizSync and
    VertRefresh settings to no avail.
