ntpd problems

For some reason, I'm unable to get this one machine to synchronize with any ntp servers. It will not change my system clock.

It's on a Dell GX270 desktop.
I have an identical installation on a Dell GX240 that does work. (kickstarted)
I copied a working ntp.conf file from another as2.1 machine that is known to work.

Here are the details of the machine:
kernel ver: 2.4.9-e25
ntp ver: 4.1.0b rel 2.AS21.4
/etc/ntp.conf basically points to the nearest router

/var/log/messages:
Aug 27 12:06:49 demo ntpd[6443]: ntpd 4.1.0b-rc1@xxxxx Thu Feb 13 12:09:56 EST 2003 (1)
Aug 27 12:06:49 demo ntpd: ntpd startup succeeded
Aug 27 12:06:49 demo ntpd[6443]: precision = 12 usec
Aug 27 12:06:49 demo ntpd[6443]: kernel time discipline status 0040
Aug 27 12:10:50 demo ntpd[6443]: time set 36.525506 s
Aug 27 12:10:50 demo ntpd[6443]: synchronisation lost
Aug 27 12:30:34 demo ntpd[6443]: time reset 1.015464 s
Aug 27 12:30:34 demo ntpd[6443]: kernel time discipline status change 1
Aug 27 12:30:34 demo ntpd[6443]: synchronisation lost

ps
I realize this is a rh9 list, but I don't normally use the enterprise edition
-thanks
