Checkout shorewall (iptables made easy) at www.shorewall.net

In particular chapter 5 of the setup guide
http://www.shorewall.net/shorewall_setup_guide.htm
which discusses the following topics:

5.2.1 SNAT
http://www.shorewall.net/shorewall_setup_guide.htm#SNAT
5.2.2 DNAT
http://www.shorewall.net/shorewall_setup_guide.htm#DNAT
5.2.3 Proxy ARP
http://www.shorewall.net/shorewall_setup_guide.htm#ProxyARP
5.2.4 Static NAT
http://www.shorewall.net/shorewall_setup_guide.htm#NAT

Based on my understanding of your post, 5.2.3 and 5.2.4 seem to apply to
your goal.
