when I try to update my RHEL5+ 64bit machine, i get the dependencies issue

You could try using --skip-broken to work around the problem
You could try running: package-cleanup --problems
package-cleanup --dupes
rpm -Va --nofiles --nodigest
[root@ ~]# uname -a
Linux server 2.6.18-164.el5xen #1 SMP Tue Aug 18 15:59:52 EDT 2009 x86_64
x86_64 x86_64 GNU/Linux
