That was it, thanks!  I compared the permissions on this dll to another dll extension that loads fine.  When I made it the same, it worked.  Thanks again!

I don't know if this will make a difference.. have you checked the permissions 
of the file. I think you need to grant the extentions folder Full Control for 
IUSR_COMPUTERNAME
