The output of the file sh is the following:

$ file sh
sh: ELF 32-bit LSB executable, version 1 (SYSV), statically linked, stripped

For the initial console warning, I have found a lot of information and it's often a too old version of
genromfs which cause this problem.
I have install the last version but it hasn't resolved the problem.
Perhaps, due to this fact, the romfs is corrupted and something is wrong with the console device and init/sh
executable.
Anyway, it seems that I need further investigations to undertand what is happening.

Uhm, what is the output of "file /path/to/sh" anyway? And...(i know
nothing about ucLinux anyway), are you sure you had used gcc properly?
or maybe you are dabbling with linker script in "unusual way"?
