yes it is created in /boot directory & not in / (root) which you have
specified in gurb.conf. There you must specify the correct path for
initrd image
     e.g. initrd /boot/initrd.2.4xxxxxx

You can just remove or comment this line in grub or lilo.  (comment with # ).
Your kernel should boot without this initrd !
