(I'm not subscribed yet, so I can't followup to the thread, sorry)

I'm running 2.4.22-pre7 + lmsensors 2.7.0 patches on my Fujitsu P2120 (Ali
chipset) and I see the same problem where I can't rmmod my network drivers
(unregister_netdevice: waiting for ethX to become free. Usage count = 2).

I don't have IPSEC enabled, though I did build the IPv6 netfilter modules
(CONFIG_IPV6=m, CONFIG_IP6_NF_*=m). IPv6 support is enabled automatically
even though I commented out NETWORKING_IPV6=yes in my
/etc/sysconfig/network file (RH 9 distro + custom kernel).

rmmod of network drivers always result in the 'waiting for ethX...'
message. With the built-in Realtek 8139, I can shutdown/poweroff fine
(though I can't rmmod), but if I inserted a Cisco Aironet 350 PC-Card, I
won't be able to shut down cleanly since the card doesn't unload, and /var
can't be unmounted as it has open files. I've tried Daniel Ritz's
airo.c patches posted recently but it doesn't fix this problem.

Booting with acpi=off doesn't have any effect on this problem, which has
persisted since the 2.4.22-preX series.

The supplied RH kernel 2.4.20-18.9 doesn't have this problem (but it
doesn't have ACPI support needed for USB 2.0 either).
