HP-Pro 360 - tg3 10/100/1000 net card issues (broadcom chipset )

Hi all, I have a broadcom chip utilizing the tg3 driver in a HPProliant DL-360 Dual306 running kernel version 2.4.20. The distribution is Slackware. I've run into an issue where only one card will work at a time.

eth0 comes up just fine, however If i bring up the 2 nd interface (eth1) the machine stops responding to any network requests. Doesnt matter what IP I give it or wether it's plugged in physically or not. The IP address really doesnt matter since the 2nd card will be listening on a mirror port on a router.

It's pretty peculiar If i run a ping to the machine in question, the second i bring up the 2nd interface it stops responding to pings. If i bring it down it starts responding again. Has anyone had any issues like this? I've never seen anything like it in years of running linux.
