If shapping the outgoing traffic and policing the incoming traffic (rate 
limiting only) is enough, take a look at this:

http://downloads.angulosolido.pt/QoS/HTB_shaper_basic.sh

the HTB_shape and limit_incoming functions already do what you need.

After you get familiar with, you can adapt as needed.
