Oh, and also enable logging.. like this:

kernel /xen-3.4.gz dom0_mem=1024M loglvl=all guest_loglvl=all com1=115200,8n1 console=com1
module /vmlinuz-2.6.31 ro root=whatever console=hvc0 earlyprintk=xen
module /initrd.img
