I finally got it working... turns out that the chroot was the problem.. once I did the mkinitrd w/out the chroot (pointed at the domU fstab), things started going a lot more smoothly... So, the good news is that I got it working... the bad news seems to be that everytime I want to update the domU kernel, I have to install it, shut down the domU, loop mount domU, create custom initrd and reboot. Rinse and repeat for each fc5 domU.
