Works for me:

$ rpm -q mysql
mysql-4.1.9-1
$ rpm -q kernel
kernel-2.6.10-1.1149_FC4
kernel-2.6.10-1.1154_FC4
$ mysqladmin -u root -h 127.0.0.1 password 'foo' -p
Enter password:
$
