RHEL3 uses a 2.4 kernel. You're trying to boot it up with a 2.6 kernel, so yeah having troubles is not surprizing. On the other hand RHEL4/FC4 use 2.6, the gap between expected kernel and the one provided by Xen is small in comparison, and that just works.
