It seems that Windows server in an active directory environment has a default group policy setting that inhibits ACPI shutdown if no user is logged in...

It is located in:
Computer Configuration\Windows Settings\Security Settings\Local Policies\Security Options\Shutdown: Allow system to be shut down without having to log on

After setting this to "on" VMs shutdown gracefully on the first try when I stop them from luci.
