It looks like you are trying to compile the tg3 module.  If so, it is
included in CentOS-5.

$ /sbin/modinfo tg3
filename:       /lib/modules/2.6.18-92.1.10.el5/kernel/drivers/net/tg3.ko
version:        3.86
license:        GPL
description:    Broadcom Tigon3 ethernet driver

You network problem may be due to something else ?
