[users@httpd] Load problems

I'm running apache 1.3.33 on Mac OS X 10.4.3, php4, I get the

Most of the time it runs fine but when I get more people at night the  
server just dies, anyone see something wrong or what would make this  
happen?
would updating to apache2 help fix this?
