1. yum should be on red hat enterprise linux 5.0 and centos 5.0
already. 

2. you would be best off running:
    yum update yum\*
    yum update

3. yes, upgrading to latest is possible in both, for red hat enterprise
linux you have to make sure your rhn account is active and connected for
that machine.
