This used to happen to me on occasion when a new kernel was released. I found the problem was video drivers. VirtualBox would fail to load until 6.12 video drivers showed up. Once the new video drivers arrived, DKMS would rebuild the VirtualBox driver for 6.12. (NVIDIA or AMD was the holdup for the video drivers for the newer kernel). I don't recall if I received the same error as you -- the VERR_VMX_IN_VMX_ROOT_MODE one. However, I recall the machine would fail to boot. My solution was to switch to QEMU/KVM. The kernel folks maintain the KVM drivers, so they are always up to date.
