It's the same as yum update but:
man yum
"upgrade
 Is the same as the update command with the --obsoletes
flag set. See update for more details."

iirc it check for packages that have been replaced by
another package in the fedora repos
example oldsweetjam.rpm replaced by  healthyoptionjam.rpm
