I believe this is exactly what Michal was talking about. Based on this error it would appear that you have an "exclude=kernel*" somewhere in your yum config. Check /etc/yum.conf and everything under /etc/yum and /etc/yum.repos.d/ and look for such an exclude configuration. That would prevent you from finding and installing kernel-headers >= 2.2.1 which is the dependency failure here.
